SK Hynix scraps its 10 billion dollar Solidigm listing

On 23 October SK Hynix cancelled a planned New York IPO of about 10 billion dollars for Solidigm, its US flash memory unit. The decision came days after Korean regulators found the deal in breach of the ban on duplicate listings.

Location: ICHEON

According to the Bloomberg report carried by the Taipei Times, SK Hynix cited 'recent capital market conditions' in its regulatory filing and also halted pre-IPO investment talks. Solidigm was working with Goldman Sachs and Morgan Stanley and had aimed to list next year at the earliest, at a valuation of up to 100 billion dollars. The report said the decision stemmed largely from regulatory objections in Korea.

Nikkei Asia notes that SK Hynix created Solidigm about 5 years ago by paying 9 billion dollars for Intel's NAND unit. Regulators worry that a separate listing of a subsidiary dilutes minority shareholders and complicates the ownership structure of SK Group. In a statement, Solidigm said the decision does not reflect any change in its growth outlook or investment needs.

The Taipei Times reports that SK Hynix shares rose after the announcement despite a broad decline led by a US tech sell-off; the stock is about 60% below its June peak. The company's market value in Seoul is roughly 679 billion dollars, half its June high. In July SK Hynix completed a 26.5 billion dollar listing, the largest US listing by a foreign company. Solidigm is a key flash memory maker for data-centre storage.

Talay assessment

Bottom line

The cancellation shows Korea putting minority shareholder protection, its tool for closing the 'Korea discount', ahead of a chance to pull US capital into AI memory. Solidigm is another data-centre deal withdrawn amid AI bubble worries, after Firmus Grid and AirTrunk. Because the funding need has not gone away, SK Hynix is expected to keep investing in capacity through debt or internal resources.

Likely effects

  • Korean capital marketsPositive1–6 months

Applying the duplicate-listing ban to a major deal also brakes other Korean groups' plans to list subsidiaries.

  • AI storage supplyNegative1–6 months

Without 10 billion dollars in fresh capital, the pace at which Solidigm expands data-centre flash capacity depends on group resources.

  • Tech financingNegativeWeeks

Three data-centre deals pulled in a row suggest the equity window for AI infrastructure is narrowing.
